By accessing or using our Website or services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

We are a family-owned business headquartered at 2614 National Place, Garland, Texas 75041, United States. These Terms apply to all users of our Services, regardless of location, and incorporate by reference our Privacy Policy, which details our practices regarding personal information. In the event of a conflict between these Terms and any other agreement, these Terms shall prevail unless expressly stated otherwise.

Your use of the Services constitutes your acceptance of these Terms, as well as any modifications we may make from time to time. We reserve the right to update these Terms at our discretion, with changes becoming effective upon posting on the Website. It is your responsibility to review these Terms periodically. Continued use of the Services after any changes signifies your acceptance of the revised Terms.

2. User Eligibility and Accounts

3. Purchases, Payments, and Orders

All product descriptions, images, and prices on our Website are subject to change without notice. We strive for accuracy but do not warrant that product details are error-free. We reserve the right to correct any errors, including pricing mistakes, and to cancel orders affected by such errors.

• Order Placement and Acceptance: Placing an order constitutes an offer to purchase. We may accept or reject orders at our discretion. Acceptance occurs upon shipment confirmation. We reserve the right to limit quantities or refuse service to any customer.

4. Shipping, Delivery, and Risk of Loss

We ship products to addresses within the United States and select international locations. Shipping times are estimates and not guaranteed. Delays may occur due to carrier issues, weather, or other factors beyond our control.

Title and risk of loss pass to you upon delivery to the carrier. We are not liable for lost, damaged, or delayed shipments once handed over. For international orders, you bear responsibility for compliance with local laws and any import duties.

5. Returns, Refunds, and Exchanges

We offer returns and exchanges for most products within 30 days of receipt, subject to the following:

• Products must be unused, in original packaging, and accompanied by proof of purchase.
• Certain items, such as personalized or perishable goods (e.g., opened candles or mists), are non-returnable for health and safety reasons.
• Shipping costs for returns are your responsibility unless the return is due to our error.

Refunds will be issued to the original payment method within 10 business days of receiving the returned item. We reserve the right to inspect returns and deny refunds for non-compliant items.

6. Intellectual Property

All content on our Services, including text, images, logos, product designs, scents formulations, and trademarks (e.g., “Scent Shop” and “Skeeter Screen”), is owned by us or our licensors and protected by intellectual property laws. Limited License: We grant you a non-exclusive, revocable license to access and use the Services for personal, non-commercial purposes. This does not include any rights to resell products or use our content for competitive purposes.

8. User-Generated Content

If you submit reviews, photos, or other content (“UGC”), you grant us a perpetual, royalty-free, worldwide license to use, modify, and distribute such UGC for any purpose, including marketing. You represent that your UGC is original, non-infringing, and compliant with laws. We may remove UGC at our discretion but are not obligated to monitor it.

Our Services and products are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted access, error-free operation, or virus-free content.

Products, such as candles and repellents, should be used according to instructions. We disclaim liability for allergic reactions, misuse, or improper storage. For Skeeter Screen products, efficacy against mosquitoes is not guaranteed in all conditions.

10. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from your use of the Services or products, even if advised of such possibility. Our total liability shall not exceed the amount paid by you for the relevant product or service in the preceding 12 months.

This limitation applies to all claims, including contract, tort, strict liability, or otherwise.

11. Indemnification

You agree to indemnify, defend, and hold harmless Scent Shop, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, misuse of the Services, or infringement of third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Dallas County, Texas.

13. Force Majeure

We shall not be liable for delays or failures due to events beyond our reasonable control, such as natural disasters, pandemics, strikes, or governmental actions.

14. Miscellaneous Provisions

• Severability: If any provision is deemed invalid, the remainder shall remain enforceable.
• Waiver: No waiver of any term shall be deemed a further or continuing waiver.
• Entire Agreement: These Terms constitute the full agreement, superseding prior understandings.
• Assignment: We may assign these Terms without notice; you may not assign without our consent.
• Third-Party Beneficiaries: No third-party rights are conferred.
